Terms of Service
These terms set out the agreement between your business and ours when you use OrderTally. Plain English wherever possible — the parts that matter most are the accuracy of invoice checking, and what happens to your data.
1. Who we are, and accepting these terms
OrderTally is an independent Australian software product, built and run from Melbourne, Victoria. By creating an account or using the service, you agree to these terms on behalf of your business.
You must be authorised to enter into this agreement for your business, and be at least 18 years old.
2. What the service does
OrderTally lets your kitchen build supply orders from your own catalogue, send them to your suppliers, check deliveries and invoices against what was ordered, and track credits owed to you.
We may change or improve features over time. If we remove something you rely on, we will give you reasonable notice.
3. Accounts and access
- You are responsible for everyone you give access to, and for what they do in the account.
- Keep access codes and passwords confidential. Tell us promptly if you believe access has been compromised.
- You are responsible for the accuracy of the supplier details, prices and catalogue you enter.
4. Free trial
New accounts get 30 days of full access at no cost, with no card required. At the end of the trial you can subscribe or stop. We will not charge you automatically at the end of a trial without your agreement.
5. Fees and billing
- The subscription is A$59 per venue, per month. We are not currently registered for GST, so no GST is charged and A$59 is the full amount payable.
- If we become registered for GST, it will be added at the applicable rate. We will tell you before that happens.
- Fees are billed monthly in advance through our payment processor.
- We may change pricing. Existing subscribers will get at least 30 days' notice before a change takes effect, and may cancel before it does.
6. Cancelling, and your rights
You can cancel at any time. Your subscription runs to the end of the period you have paid for, and is not renewed after that.
Ordering never locks. If a payment fails or a subscription lapses, you will still be able to place orders and get your data out. We will not hold your kitchen's ordering hostage over a billing problem.
Nothing in these terms excludes your rights under the Australian Consumer Law, including any right to a remedy where a service is not supplied with due care and skill.
7. Your data
- Your data is yours. Your catalogue, orders, invoices and spend records belong to your business.
- You grant us the licence needed to host, process and display that data in order to run the service for you.
- You can request an export of your data at any time, during or after your subscription.
- How we handle personal information is set out in our Privacy Policy.
8. Accuracy of invoice checking
Please read this one
OrderTally uses automated and AI-assisted processing to read invoices and compare them with your orders. It will sometimes be wrong. It may miss a discrepancy, or flag something that is actually correct.
OrderTally is a tool to help you check — it is not a substitute for your own review, and it is not accounting, tax, financial or legal advice. Before you dispute a charge, withhold payment, or rely on a figure, satisfy yourself that it is right.
You remain responsible for what you pay your suppliers and for your own financial records.
9. Acceptable use
You agree not to:
- Use the service unlawfully, or to send unlawful, deceptive or abusive content to suppliers.
- Attempt to access another customer's data, or probe or disrupt the service.
- Resell or white-label the service without our written agreement.
- Upload material you do not have the right to upload.
10. Availability
We aim to keep OrderTally available and working, but we do not guarantee uninterrupted access. The service may be unavailable during maintenance, or because of faults in systems we depend on. Where we can, we will schedule planned maintenance outside kitchen service hours.
11. Third parties and your suppliers
OrderTally sends orders through third-party channels such as WhatsApp, and depends on hosting, AI and payment providers. We are not responsible for outages or changes in those services.
Your relationship with your suppliers is your own. We are not a party to it. We do not guarantee that a supplier will accept an order, deliver it, honour a price, or pay a credit.
12. Liability
Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing here limits those.
To the extent the law allows, and subject to the paragraph above:
- Our total liability to you in any 12-month period is limited to the fees you paid us in that period.
- We are not liable for indirect or consequential loss, including lost profits, lost business or loss of data, beyond what the law requires.
13. Suspension and termination
We may suspend or end an account that breaches these terms, or where required by law. Where it is reasonable to do so, we will warn you first and give you a chance to put it right. You may close your account at any time.
14. Changes to these terms
We may update these terms. The date at the top shows the last revision. If a change materially affects your rights, we will give you reasonable notice before it takes effect.
15. Governing law
These terms are governed by the laws of Victoria, Australia. Both parties submit to the courts of that state.
